Log says you have run out of memory. You can not assign almost all of the available memory to the guest. The host process and VirtualBox host program are using memory as well. Try it again with no more the 1/2 of the available (not total) memory.

Please check VBox 4.0.2. There was a more strict memory allocation method with VBox 4.0.0, 4.0.2 is less restrictive. Reopen if necessary.
