Attempts to start a newly-created Windows 2003 Server 32-bit VM under VB 3.2.4 OSE failed, reporting memory allocation failure, even though the same VMDK's ran successfully under earlier VB versions. Host is a CentOS 4.2 variant. At the time the VM was started, "free" showed 10 GB of unused swap space:

There could be indeed a problem with such old kernels. Were you ever able to start a VM on that host?

I was indeed able to boot this same Windows 2003 VMDK under VB 3.1.8, running on a CentOS 4.2 variant.
