VirtualBox: 3.0.8 r53138
Guest OS: Linux 2.6.18-128.4.1.el5 #1 SMP Tue Aug 4 20:23:34 EDT 2009 i686 athlon i386 GNU/Linux
Using more than 2 GB RAM and more than one processor for the virtual machine leads to
"Kernel-Panic - not syncing: Fatal Exception".

APIC #3 ID: failed
APIC #3 Version: failed
APIC #3 SPIV: failed
CPU #3 is not responding - cannot use it.
Total of 1 processors activated
We tried different amounts of memory over 2 GB with the same result.

I see that your guest has 6 (!) VCPUs.
Can you try to use only 1 CPU ? (but >2 GB RAM) Does it work?
