Guest abort/crash without ping / activities

Description
Hi there,
I am using
VirtualBox: 2.2.2
Host: CentOS 5.3
Guest: Ubuntu 8.04 and CentOS 5.2
Guest creation and booting were all ok...
However after certain period of time .... all guest got terminated.
Guest Logs are all looks normal. ( I am using VBoxHeadless -s GUEST -vrdp off & ) the same goes with VBoxHeadless -s GUEST &
HOWEVER if keep pinging from host to guest ip ... then the GUEST keep on alive !
ping -i 5 GUEST.ip ..... this keep guest alive !
(Plus other network bridge DOES NOT work well in nic2 etc..)
