windows 2000 SP4 server won't install anymore

regression?
- insert MSDN's win2k SP4 server CD in drive and mount it in vBox
- VM settings are: 5gb HDD/256 RAM/no network adapter/VTx enabled ACPI enabled
- start booting from CD and select format all as NTFS partition leaving all required fields in its default state
it will copy files, start windows mini-setup phase and onto final stage of it, (saving settings) will reboot shortly and start windows mini-setup again (it will do it forever if installation was interrupted).
I try set PXII3 controller , VTx disabling , ACPI, disabling and combination of this.... it doesnt help ...
