Same problem here. Even worse, when enabling compiz and seamless mode, my ubuntu desktop is unusable.
VirtualBox 1.6.6
Host OS: Ubuntu 8.10 Alpha 5 (Linux 2.6.27-2-generic, nvidia-glx-new (177), "normal" effects scheme set in gnome 2.23.91) Guest OS: Windows XP SP3 with all updates, Virtualbox 1.6.6 guest additions installed

It seems that it happens only when having no windows opened in the guest system, or having a fullscreen window opened.

I am having the same issue. Here are my specs:
Host O/S: Ubuntu 8.1 x64 running Compiz Guest O/S: Windows XP Pro VBox Version: 2.2.0
Seamless appears to function correctly as long as I do not minimize all of the guest OS windows. If all of my Guest OS windows are minimized, a botched up copy of the Guest OS' background takes up the screen. Interestingly enough, if I hover the mouse over the taskbar icon of any of the minimized programs, the screen clears up immediately.
Also, if I close all my applications on the Guest OS, the problem appears again. It clears right up when I run an application in my Guest OS.
