http://www.virtualbox.org/changeset/31595 removed the support for settingsfile, but
$ VBoxManage createvm Usage:
$ VBoxManage --version 4.0.8r71778 VBoxManage createvm --name <name>
[--ostype <ostype>] [--register] [--basefolder <path> | --settingsfile <path>] [--uuid <uuid>]

Thanks for reporting. Will be fixed with 4.0.10, and as it's only a tiny documentation issue it's not worth keeping this ticket open.
