I also tried Ubuntu 10.04 x64 install media with VBox 4.02 and ran into the same problem. I tried two version of 32bit Ubuntu 10.10 with VBox 4.02 (10.10 and a 10.04beta) and did not experience the problem (it only happens with the x64 versions). I have not installed the 10.10 x64 fully, so I do not know if I will need the acpi=off kernel parameter once the OS is installed.
