Actually MS announced that Windows Server 2008 is the last 32-bit server version.

Please reopen if still relevant with VBox 4.1.6.

The problem could be that the VirtualBox guest manager asks if you have Server 2008 x86 or x64, and starting with Server 2008, Microsoft is no longer releasing 32 bit server OS's. Make sure you choose x64 when creating the VM, x86 will cause the install to fail immediately.
To Devs: This other entry should be removed from the list of available guest OS's.
